Terms of Use & Exclusive Commercial Licensing Terms
Last updated: 03 February 2026
Welcome to Social Network Cinema.
These Terms of Use & Exclusive Commercial Licensing Terms ("Terms") govern access to our website, the purchase and licensing of our digital visual content, and the rights and obligations of customers using that content.
By accessing our website, purchasing any content, or accepting a licence, you agree to be bound by these Terms.
1. About Social Network Cinema
Social Network Cinema ("we", "us", "our" or "Licensor") creates and offers premium, artificially generated visual content for commercial and creative use.
Our content is developed using artificial intelligence technologies, creative direction, selection, editing and other production processes.
Our visual content is intended to be synthetic. Any human figures depicted in our AI-generated visuals are fictional representations and are not intentionally based on, or designed to reproduce the identity or likeness of, any identifiable real person.
Unless expressly stated otherwise, our visuals do not depict actual photographic events, actual models or real-life photographic sessions.
2. Definitions
For the purposes of these Terms:
"Content" means any photograph-style image, AI-generated visual, video, graphic, preview, digital asset or other material displayed, offered or supplied by Social Network Cinema.
"Licensed Content" means the specific digital asset identified in a completed purchase and made available to the customer under these Terms.
"Customer" or "Licensee" means the individual or legal entity identified as the purchaser of the Licensed Content.
"Preview" means any sample, watermarked, reduced-resolution or otherwise restricted representation of Content displayed before purchase.
"Exclusive Commercial Licence" means the contractual permission granted to one Customer to use specific Licensed Content commercially, subject to the rights, restrictions and exclusivity commitments contained in these Terms.
"Purchase Confirmation" means the order confirmation, invoice, licence certificate or other written electronic record identifying the purchased Content and the Customer.
3. Nature of AI-Generated Content
3.1. The Content is created using generative artificial intelligence and may include human creative direction, curation, editing, compositing and post-production.
3.2. Human figures appearing in our synthetic visuals are intended to be fictional. We do not intentionally create exact replicas of identifiable individuals or knowingly market the Content as authentic photographs of real people.
3.3. Any resemblance to an actual person, living or deceased, is unintended unless expressly disclosed.
3.4. The Customer acknowledges that AI-generated content may be subject to different intellectual property rules in different jurisdictions and that copyright protection may depend on applicable law and the degree of human creative contribution.
3.5. Our contractual licensing terms, including our commitment not to license the same Content to another customer, apply regardless of whether any particular AI-generated element independently qualifies for copyright protection.
3.6. The Customer must comply with applicable laws governing the disclosure, labelling and use of synthetic or AI-generated media.
4. Ownership and Reservation of Rights
4.1. Social Network Cinema retains ownership and control of its original digital files, production materials, source assets, brand identifiers, website content and all intellectual property rights that it owns or is legally entitled to exercise.
4.2. Purchasing Licensed Content does not constitute a sale, assignment or transfer of copyright, intellectual property ownership, source materials or any other proprietary rights.
4.3. The Customer receives only the specific contractual rights expressly granted under these Terms.
4.4. All rights not expressly granted to the Customer are reserved by Social Network Cinema, to the extent permitted by applicable law.
4.5. Nothing in these Terms shall be interpreted as asserting copyright protection over material that is not eligible for such protection under applicable law.
5. Website Previews and Unlicensed Content
5.1. All previews are provided exclusively for browsing, evaluation and selection of Content available for licensing.
5.2. Previews may contain visible watermarks, embedded identifiers, metadata or other identification technologies.
5.3. No commercial, publication or redistribution rights are granted in relation to previews.
5.4. Except where expressly permitted by mandatory law, visitors may not:
- Download, reproduce, screenshot or otherwise capture previews for reuse or redistribution.
- Publish, distribute, share, sell or commercially exploit previews.
- Remove, obscure, alter, bypass or reconstruct visible or invisible watermarks.
- Use AI tools or other software to remove watermarks or reconstruct unlicensed versions of the Content.
- Present previews as their own work or as assets available for licensing.
- Use previews or other unlicensed Content for AI model training, fine-tuning, dataset creation or machine-learning development.
5.5. Ordinary technical copies automatically generated by a browser for the purpose of viewing the website are not prohibited by this section.
5.6. Social Network Cinema may use available technical and legal measures to identify and address unauthorised use.
6. Grant of Exclusive Commercial Licence
6.1. Upon successful payment and confirmation of the purchase, Social Network Cinema grants the Customer an exclusive, worldwide, fully paid-up, perpetual commercial licence to use the specific Licensed Content identified in the Purchase Confirmation.
6.2. The licence is granted to the purchasing Customer only and is subject to the restrictions contained in these Terms.
6.3. The licence is valid worldwide, without a fixed expiration date, and without recurring licensing fees.
6.4. Subject to compliance with these Terms, the Customer may use the Licensed Content in an unlimited number of permitted commercial projects, campaigns, publications and placements.
6.5. The licence is not restricted by the number of impressions, views, advertising campaigns, website visits, social media followers or permitted reproductions.
6.6. No additional licence payment is required for continued permitted use of the same Licensed Content.
6.7. The licence includes the right to reproduce, display, publish, communicate to the public, incorporate into marketing materials, resize, crop, edit and adapt the Licensed Content for the Customer's own commercial activities.
6.8. This licence is a contractual permission to use the Licensed Content and, where applicable, a licence of intellectual property rights controlled by Social Network Cinema. It does not transfer ownership of those rights.
7. Exclusivity Guarantee
7.1. Each Licensed Content asset is offered under a single-customer exclusive commercial licensing model.
7.2. Following the first completed purchase of a specific asset, Social Network Cinema will remove that asset from availability for new customer licences.
7.3. Social Network Cinema will not knowingly sell, license, assign commercial usage rights in, or otherwise make the same Licensed Content asset commercially available to another customer after the exclusive licence has been granted.
7.4. Social Network Cinema will not itself commercially exploit the Licensed Content after purchase, except as reasonably necessary for recordkeeping, licence administration, legal compliance, enforcement of rights or fulfilment of obligations to the Customer.
7.5. Exclusivity applies to the specific purchased asset, not to general concepts, themes, visual styles, fictional characters, prompts, aesthetic characteristics or independently created images that are not copies or substantially identical reproductions of that asset.
7.6. Social Network Cinema does not guarantee that unrelated third parties, including users of independent AI systems, will never independently generate visually similar content.
7.7. Exclusivity does not constitute a guarantee of copyright registration, copyright enforceability or protection against independently created similar works.
7.8. The exclusivity commitment applies from the effective date of the Customer's licence. It does not retroactively eliminate lawful displays or disclosures that occurred before purchase.
8. Permitted Commercial Uses
Subject to these Terms, the Customer may use Licensed Content for:
- Commercial and corporate websites.
- Online stores, landing pages and digital storefronts.
- Organic and paid social media posts.
- Social media advertisements and sponsored campaigns.
- Digital display advertising, banner advertising and promotional creatives.
- Search engine advertising and other online marketing.
- Email marketing, newsletters and CRM campaigns.
- Brand communications and corporate presentations.
- Printed advertisements, brochures, flyers, posters and catalogues.
- Editorial-style brand publications and promotional articles.
- Video advertising, motion graphics and audiovisual presentations incorporating the Licensed Content.
- Event promotions, trade shows and business communications.
- Other lawful advertising, promotional and business purposes that do not violate the restrictions in these Terms.
The Customer may use the Licensed Content across multiple channels and campaigns without requesting additional permission.
9. Prohibited Uses
The Customer may not:
9.1. Resale or redistribution
Sell, resell, license, sublicense, rent, lease, distribute or otherwise supply the Licensed Content as a standalone digital asset, whether modified or unmodified.
9.2. Stock platforms and asset marketplaces
Upload or offer the Licensed Content on stock photography websites, digital asset marketplaces, template marketplaces, image libraries or similar distribution services.
9.3. Transfer of licensing rights
Transfer, assign or commercially grant the licence to another individual, company or legal entity without our prior written consent, except as expressly permitted under Section 10.
9.4. Competing products
Use the Licensed Content to create or operate a competing stock-image library, licensing platform or substantially similar digital asset distribution business.
9.5. AI training
Use the Licensed Content to train, fine-tune, validate or develop generative AI models, machine-learning datasets or image-generation systems without our prior written permission.
9.6. Misrepresentation
Represent that the Licensed Content depicts a real person, real photographic event, verified testimonial or actual endorsement where this would be false or misleading.
9.7. Unlawful or infringing activities
Use the Licensed Content in a manner that violates applicable law, infringes third-party rights, constitutes unlawful defamation or deception, or breaches applicable advertising and consumer-protection requirements.
9.8. False ownership claims
Claim authorship of our original production process, falsely represent the Customer as the creator of the original supplied asset, or attempt to register exclusive intellectual property rights in the unmodified Licensed Content in a manner inconsistent with these Terms.
9.9. Removal of provenance information
Remove or falsify legally required AI-origin disclosures or provenance information where such removal would violate applicable law.
For clarity, the sale of a legitimate product or service advertised using Licensed Content is permitted. The prohibition concerns resale, sublicensing or redistribution of the Licensed Content itself.
10. Use by Employees, Agencies and Contractors
10.1. The Customer may provide access to the Licensed Content to its employees, advertising agencies, designers, marketing consultants, production partners and other service providers solely for the purpose of creating or managing permitted materials on the Customer's behalf.
10.2. Such access does not create an independent licence for those persons or entities.
10.3. Contractors and service providers may not use the Licensed Content for their own business, for unrelated customers or for separate projects.
10.4. The Customer is responsible for ensuring that authorised service providers comply with the applicable restrictions of these Terms.
10.5. The Customer must take reasonable steps to prevent unauthorised retention, redistribution or independent exploitation of the original asset files by such service providers.
11. Modifications and Derivative Materials
11.1. The Customer may crop, resize, recolour, retouch, combine, overlay, animate or otherwise adapt Licensed Content as reasonably required for permitted commercial use.
11.2. The Customer may incorporate Licensed Content into advertising designs, website layouts, presentations, social media creatives and other permitted materials.
11.3. Modifications do not transfer ownership of the original Licensed Content or remove the restrictions against resale and redistribution.
11.4. The Customer retains any rights it may independently acquire in its own original contributions, without acquiring ownership of underlying rights reserved by Social Network Cinema.
11.5. The Customer may not use modifications or derivative versions as a means of circumventing the prohibition on standalone asset resale, sublicensing or redistribution.
12. Payment, Delivery and Licence Activation
12.1. All prices are displayed on the website or during checkout.
12.2. The licence becomes effective only after successful receipt of the applicable payment and confirmation of the order.
12.3. No commercial usage rights are granted merely by adding Content to a shopping cart, initiating checkout or receiving access to a preview.
12.4. Following successful purchase, the Customer will receive access to the purchased digital asset through the delivery method specified at checkout.
12.5. The Purchase Confirmation serves as evidence of the transaction and identifies the asset covered by the licence.
12.6. The Customer is responsible for retaining the Purchase Confirmation and a secure copy of the purchased files.
12.7. Unless otherwise expressly agreed, delivery of the purchased file does not include source project files, generation prompts, AI model settings, editing histories or intermediate production materials.
13. Availability and Prior Transactions
13.1. Social Network Cinema aims to ensure that each exclusive asset is sold to only one Customer.
13.2. A product displayed on the website is not reserved until the purchase is successfully completed and confirmed.
13.3. If a technical error, payment processing conflict or other exceptional circumstance results in conflicting purchases of the same exclusive asset, Social Network Cinema will investigate the transaction records promptly.
13.4. Where an exclusive licence cannot validly be fulfilled, the affected Customer will be offered a full refund or, with the Customer's agreement, an alternative asset.
13.5. Social Network Cinema will not knowingly maintain two conflicting exclusive commercial licences for the same asset.
13.6. Any additional remedies required by mandatory applicable law remain unaffected.
14. No Transfer of Ownership
14.1. The purchase price is paid for delivery of the digital asset and the associated contractual licence, not for the acquisition of intellectual property ownership.
14.2. The Customer does not become the copyright owner, author or owner of Social Network Cinema's underlying production materials merely by purchasing Licensed Content.
14.3. Where intellectual property rights exist and are controlled by Social Network Cinema, those rights remain with Social Network Cinema, subject to the exclusive rights expressly granted to the Customer.
14.4. Nothing in these Terms restricts rights that cannot lawfully be restricted by contract.
15. Customer Responsibilities
15.1. The Customer is responsible for ensuring that its intended use of Licensed Content complies with applicable advertising, consumer-protection, intellectual property and other relevant laws.
15.2. The Customer must not create misleading claims suggesting that fictional AI-generated individuals have personally used, tested or endorsed products or services.
15.3. The Customer is responsible for any disclosures required by law when publishing or commercially using AI-generated or synthetic content.
15.4. Social Network Cinema does not provide legal clearance for the Customer's particular advertising claims, regulated products, campaign context or industry-specific compliance obligations.
16. Representations and Limitations
16.1. Social Network Cinema represents that it is entitled to enter into these Terms and grant the contractual permissions described herein.
16.2. Social Network Cinema intends its synthetic human representations not to depict or imitate identifiable real persons without appropriate authorisation.
16.3. Except for express commitments contained in these Terms and warranties required by applicable law, the Licensed Content is provided without guarantees that it will meet every technical, creative, regulatory or commercial requirement of the Customer.
16.4. Social Network Cinema does not warrant that AI-generated material will qualify for copyright protection in every jurisdiction.
16.5. Social Network Cinema does not warrant that independent third parties will never create similar-looking images.
16.6. Nothing in this section limits the express single-customer exclusivity commitment in Section 7 or any liability that cannot lawfully be excluded.
17. Refunds and Digital Content
17.1. Refunds, cancellations and statutory withdrawal rights are governed by applicable consumer-protection law and any additional refund policy expressly presented during checkout.
17.2. Where legally permitted, immediate delivery of digital content may affect a consumer's statutory withdrawal rights, provided the legally required consent, acknowledgement and confirmation procedures have been completed.
17.3. Nothing in these Terms automatically waives mandatory consumer rights.
17.4. Where Social Network Cinema cannot supply the purchased asset or the promised exclusive licence, the Customer retains the remedies available under applicable law and these Terms.
18. Licence Duration and Termination
18.1. The Exclusive Commercial Licence is granted without a fixed expiration date and is intended to remain effective for the full duration permitted by applicable law.
18.2. The licence does not require renewal or recurring licensing payments.
18.3. Social Network Cinema may terminate the licence for a material breach of these Terms where termination is permitted by applicable law, following written notice and a reasonable opportunity to remedy the breach where appropriate.
18.4. Termination does not affect rights or remedies accrued before termination.
18.5. Upon lawful termination, the Customer must cease further use of the Licensed Content and remove it from materials under its control within a reasonable period, except where continued retention is required by law.
18.6. Social Network Cinema will not treat a terminated licence as automatically restoring unrestricted resale rights over the same asset. Any future disposition of that asset must take account of existing legal obligations, prior licences and applicable law.
19. Unauthorised Use and Enforcement
19.1. Unauthorised commercial exploitation, redistribution or misuse of Content may constitute a breach of contract and, where applicable, an infringement of intellectual property or other legal rights.
19.2. Social Network Cinema reserves the right to investigate suspected misuse, preserve relevant evidence and seek appropriate remedies under applicable law.
19.3. Where legally justified, Social Network Cinema may request removal of unlawfully used Content from websites, hosting services, marketplaces or social media platforms.
19.4. Available remedies may include injunctive relief, contractual damages, compensation or other relief permitted by applicable law.
19.5. Nothing in these Terms creates copyright protection or infringement remedies where such rights do not exist under applicable law.
20. Limitation of Liability
20.1. To the maximum extent permitted by applicable law, neither party shall be liable to the other for indirect or consequential losses, including loss of anticipated profits or business opportunities, arising from the use of Licensed Content.
20.2. This limitation does not apply to intentional misconduct, fraud, breach of the express exclusivity commitment, or any liability that cannot lawfully be excluded or limited.
20.3. Any additional liability cap must be expressly stated in the applicable purchase agreement or these Terms and must comply with mandatory law.
20.4. Nothing in these Terms limits statutory consumer remedies.
21. Changes to These Terms
21.1. Social Network Cinema may update these Terms to reflect legal, operational, technical or commercial developments.
21.2. Updated Terms will be published on the website with a revised effective date.
21.3. Unless expressly agreed otherwise or required by law, changes will not retroactively reduce the rights granted under licences already purchased.
21.4. The version of these Terms applicable at the time of purchase governs that purchase, subject to mandatory law and any individually agreed written amendments.
22. Severability
If any provision of these Terms is held to be invalid, unlawful or unenforceable, the remaining provisions shall remain effective to the extent permitted by applicable law.
Any invalid provision shall be interpreted or replaced only to the extent legally permissible and consistent with the original commercial purpose of these Terms.
23. Governing Law and Disputes
The competent courts and applicable dispute-resolution procedures shall be determined in accordance with applicable law.
Nothing in these Terms deprives consumers of mandatory protections or jurisdictional rights granted by applicable law.
